These Terms of Service (“Terms”) govern your access to and use of CodeSpectrum’s websites, products, and services, including Picsera for Amazon Sellers (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
1. Who we are
“CodeSpectrum” (“we”, “us”, “our”) is the provider of software and professional services described on codespectrum.in.
2. Services
The Services include a web application that assists Amazon Selling Partners with listing management, media compliance checks, A+ content workflows, and related analytics as described on our product page. Certain capabilities integrate with Amazon’s Selling Partner API (“SP-API”).
3. Eligibility & Accounts
- You must have the authority to bind your organization to these Terms.
- To use SP-API features, you must be an authorized Amazon Selling Partner and complete any required Amazon consent flows.
- You are responsible for safeguarding your credentials and for all activity under your account.
4. Acceptable Use
- Use the Services only for lawful business purposes and in compliance with applicable laws and Amazon policies.
- No reverse engineering, scraping, or attempts to bypass security measures.
- No sharing, reselling, or aggregation of data across multiple sellers or accounts.
5. Fees & Billing
Pricing is published on our product page. Quote-based or usage-based fees will be agreed in writing before work begins. Unless specified otherwise, fees are non-refundable and exclusive of taxes.
6. Intellectual Property
We retain all rights, title, and interest in and to the Services, including software, documentation, and designs. You retain all rights to your trademarks, product data, and media assets that you upload or authorize us to process.
7. Data Protection & SP-API
- We access SP-API data only for the Amazon seller account that has granted authorization and only for purposes requested by that seller.
- We do not resell, share, or aggregate data across sellers. We do not provide market-wide analytics derived from other sellers’ data.
- We use encryption in transit and at rest and apply least-privilege access controls. More details are in our Privacy Policy.
8. Third-Party Services
Our Services may interface with third-party platforms (e.g., Amazon SP-API, storage/CDN providers). Your use of third-party platforms is governed by their terms. We are not responsible for third-party outages, rate limits, or changes.
9. Service Levels & Support
We provide support and response targets as described on the product page’s “Support, SLA & Operational Commitments” section. Targets are goals and not guarantees unless agreed otherwise in a signed order form.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CODESPECTRUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Term & Termination
- You may stop using the Services at any time.
- We may suspend or terminate access for material breach, unlawful use, or to comply with law or Amazon policies.
- Upon termination, we will revoke SP-API tokens and delete data per our retention policy.
13. Changes
We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use after the update constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Courts located in Karnataka, India shall have exclusive jurisdiction.
